Terms of Service

The short version (not a substitute for the full Terms). maia is an AI assistant that helps your family coordinate life through WhatsApp and a web dashboard. It is software, not a person. It can make mistakes, so please double-check anything important. maia is not an emergency service — if someone is in danger, call 911. maia is not a doctor, a financial advisor, a lawyer or a babysitter. maia never moves your money. The Family Manager controls the family account, pays for it, and is responsible for inviting only people who agreed to join. You can cancel anytime by emailing support@maia-assist.com or writing "cancel subscription" to maia. We never sell your data and we never use your family's content to train AI models. If we have a disagreement, you agree to resolve it individually through arbitration, unless you opt out within 30 days (Section 27).

1. Who we are and what this agreement is

1.1. The company. maia is a service of GRUPO VIDA FARMA LLC, a Florida limited liability company (Florida Document No. L25000268846), doing business as "maia," with its principal office at 3625 NW 82nd Ave, Suite 100KK, Doral, Florida 33166, United States ("maia," "we," "us" or "our").

1.2. The agreement. These Terms of Service (the "Terms") are a binding legal contract between you and maia. They govern your access to and use of the maia assistant on WhatsApp and any other messaging channel we support, the website at maia-assist.com, the maia web dashboard, and any related features, content, communications and software (together, the "Service").

1.3. Documents that form part of these Terms. The following documents are incorporated into these Terms by reference: (a) our Privacy Policy, including the Children's Privacy, Consumer Health Data and Voice Data sections; (b) any feature-specific terms or consents we show you before you use a feature, such as the Voice Legacy Consent, the Connected Financial Accounts consent and the parental consent for children under 13 (each, "Additional Terms"). If Additional Terms conflict with these Terms, the Additional Terms control for that feature.

1.4. How you accept. You accept these Terms when you (a) tap or click a button or checkbox that states you agree, (b) send a message that creates a family ("create my family") or accepts an invitation after being shown a link to these Terms, (c) pay for a subscription, or (d) otherwise use the Service. If you do not agree, do not use the Service.

1.5. Please read Section 27 (Arbitration). It requires most disputes to be resolved through binding individual arbitration instead of in court, and it waives class actions and jury trials. You can opt out within 30 days.

2. Definitions

3. Eligibility and age

3.1. Family Managers must be at least 18 years old (or the age of majority where they live, if higher), able to form a binding contract, and a resident of the United States. By creating a Family you confirm this.

3.2. Adult Members and Household Staff must be at least 18 years old.

3.3. Minors need the Family Manager's approval. No person under 18 may be added to a Family, or use the Service as part of one, unless the Family Manager has approved it. Minor Members from 13 to 17 may use the Service only as part of a Family whose Manager is their parent or legal guardian (or has that parent's or guardian's authorization), and only with that approval. The parent or guardian accepts these Terms on the minor's behalf and is responsible for the minor's use.

3.4. Children under 13 may be connected to the Service only by a parent or legal guardian who is the Family Manager and who first gives verifiable parental consent as described in the Children's Privacy section of our Privacy Policy. We do not knowingly allow children under 13 to create accounts or join on their own. If we learn that we collected personal information from a child under 13 without verifiable parental consent, we will delete it.

3.5. Who may not use maia. You may not use the Service if you are barred from doing so under U.S. law, if you are located in a country subject to comprehensive U.S. sanctions, or if we previously terminated your access for violating these Terms.

4. What maia is — and what it is not

4.1. What maia is. maia is a software assistant powered by artificial intelligence. It helps Families coordinate calendars and events, reminders, shopping and to-do lists, routines, family journals and voice notes, household staff schedules, family goals, informational summaries of connected financial accounts, and — where available — voice memories ("Voice Legacy"). You interact with maia mainly by messaging it on WhatsApp and through the web dashboard.

4.2. maia is an AI, not a human. Messages from maia are generated automatically by software. maia is not a person, and no human is reading and answering your messages in real time. We tell you this clearly so you always know you are talking to an automated system.

4.3. maia is NOT an emergency service. maia does not monitor anyone's safety, does not contact emergency services, and cannot respond to emergencies. Never rely on maia in an emergency. If you or someone else may be in danger, has a medical emergency, or is at risk of harm, call 911 (or your local emergency number) immediately. Messages about emergencies sent to maia may not be read, understood or acted on.

4.4. maia is NOT a medical or health service. maia may help you remember appointments or medication times that you enter. maia does not provide medical advice, diagnosis or treatment; does not check doses, interactions or prescriptions; and is not a substitute for a doctor, pharmacist, nurse or caregiver. Always follow the instructions of a qualified health professional and the labels of your medications. A missed, late, duplicated or incorrect reminder must never result in a person missing or doubling a dose — keep your own independent system for anything critical.

4.5. maia is NOT a financial, investment, tax or accounting advisor. maia may show balances, categorize transactions, summarize spending and keep informational records of allowances, shared expenses or who owes what. These are informational only and may be incomplete, delayed or wrong. maia does not give financial, investment, credit, tax or legal advice and does not recommend any financial product.

4.6. maia NEVER moves money. maia cannot and will not transfer funds, pay bills, make purchases for you, hold money, or act as a payment processor between Members. Connected bank data is read-only. Any "balance," "split" or "allowance" in maia is a record, not a payment. You are solely responsible for any payments you make outside the Service.

4.7. maia is NOT a legal advisor, childcare provider, supervisor, security system or caregiver. maia does not supervise children, older adults or anyone else, and it does not replace adult supervision, professional care, or a home security system.

4.8. maia is NOT an employer, staffing agency or payroll service. See Section 13.

5. Artificial intelligence: how it works and its limits

5.1. Outputs can be wrong. maia uses machine-learning and large language models provided by us and by third-party AI providers. AI can misunderstand messages or voice notes, "hallucinate" (state false things confidently), mis-transcribe names, dates, times or amounts, confuse people, miss context, or produce Output that is incomplete, outdated, inappropriate or inaccurate. Output is not a verified fact. You are responsible for reviewing Output before relying on it, and you keep the final decision on everything.

5.2. Actions maia takes for you. When you ask, maia may take actions on your behalf within the Service — for example, creating or changing calendar events, sending reminders or messages to other Members of your Family, adding items to lists, inviting a Member, or generating a report. You authorize maia to take the actions you request and actions reasonably implied by your request. For actions that affect other people or that are hard to undo, maia may ask you to confirm first; you are responsible for the confirmations you give. maia will not take actions that your role is not permitted to take.

5.3. Timing and delivery are not guaranteed. Reminders, notifications and messages depend on your phone, internet connection, WhatsApp, Meta, telecom carriers, time-zone settings and other systems outside our control. They may arrive late, more than once, or not at all.

5.4. Human review. We do not have people read your conversations to answer them. Limited, authorized personnel may access specific Content only as described in our Privacy Policy — for example, when you ask for support and allow it, to investigate abuse or security incidents, or when required by law. Every such access is logged.

5.5. No training on your Content. We do not use your Family's Content to train our own or third-party AI models, and we require our AI providers not to use it for training. See the Privacy Policy.

5.6. Sensitive topics. maia is designed to decline or redirect certain requests, including requests that would harm someone, violate these Terms, or require professional help. If you or someone you know is struggling, in the U.S. you can call or text 988 (Suicide & Crisis Lifeline) or call 911 in an emergency.

6. Family Accounts, roles and permissions

6.1. The Family Manager. The Manager creates and controls the Family Account, is responsible for all fees, chooses the plan, invites and removes Members, assigns roles and permissions, and can change Family settings. The Manager is responsible for all activity in the Family Account that the Manager authorizes, including activity by Members the Manager invited.

6.2. Roles. Today the Service distinguishes Managers and Members. Managers administer the Family and decide, for each Member, whether they have full, view-only or no access to financial information, and who may contribute to the family journal. We are adding more specific roles (such as Minor Members and Household Staff) with their own limits; until they are available, Managers are responsible for giving each person only the access that is appropriate for them. The current permissions are explained in the Service and in our Privacy Policy. We may adjust roles and permissions to improve privacy or safety.

6.3. Your promises when you invite someone. When you invite or add a person, or share information about a person (for example, a partner, child, parent or employee), you represent and warrant that: (a) you have the legal right to do so; (b) each adult you invite has agreed to join and to receive messages from maia; (c) for Minor Members and children, you are their parent or legal guardian or have that person's authorization; (d) for Household Staff, the person has been informed of what the Family will be able to see about them and has agreed; and (e) sharing that information does not violate anyone's rights or any law.

6.4. Members' own accounts. Each Member interacts with maia from their own phone number. What one Member tells maia privately is handled according to the visibility rules explained in the Privacy Policy. maia is not a tool to secretly monitor adults: the Service is designed so that each adult can know what others in the Family can see about them.

6.5. Removing Members; leaving a Family. A Manager may remove a Member at any time. An adult Member may leave a Family at any time by telling maia or contacting us. When a Member leaves or is removed, their access ends; how their data is kept or deleted is described in the Privacy Policy.

6.6. Family disputes. We do not take sides in disagreements between Family Members, including separations, divorces or custody matters. The Family Account belongs to, and is administered by, its Manager(s). We may comply with valid court orders and legal process. If you believe your safety is at risk from another Member (for example, domestic violence), contact us at support@maia-assist.com and we will help you leave the Family and protect your information as far as the law allows.

6.7. Phone numbers are your identity. In maia, your phone number identifies you. Anyone who can use your phone or your WhatsApp account can talk to maia as you and see what you can see. You are responsible for keeping your phone, SIM, WhatsApp account and any login links secure, and for telling us immediately at support@maia-assist.com if your number changes, is lost, stolen, ported or reassigned, or if you suspect unauthorized access. We may suspend access to protect your Family while we verify a change.

7. Messaging channels, texts and your consent

7.1. Consent to receive messages. By creating a Family, accepting an invitation or giving us your number, you agree to receive messages from maia on WhatsApp (and, where applicable, SMS, iMessage/RCS or email) that are related to the Service: answers to your requests, reminders and notifications you or your Family set up, invitations, onboarding messages, account, security, billing and payment notices, and important changes to the Service ("Service Messages"). Service Messages may be sent using automated technology. Consent to Service Messages is not a condition of purchasing anything, but without them the Service cannot work.

7.2. Marketing messages require separate consent. We will send you promotional or marketing messages by WhatsApp, text or phone only if you separately give us prior express written consent, and you can withdraw it at any time. Consent to marketing is never a condition of purchase.

7.3. Stopping messages. You can stop maia messages at any time by replying STOP (or "cancel my messages") on that channel, or by leaving the Family. You may receive one message confirming your request. Stopping Service Messages means maia can no longer assist you. Reply HELP or write to support@maia-assist.com for help.

7.4. Quiet hours. Families can set quiet hours. Outside of reminders you schedule for those hours, maia tries not to message during them, but we do not guarantee it.

7.5. Carrier and data charges. Message and data rates from your carrier or internet provider may apply. We are not responsible for those charges.

7.6. Messaging platform terms. When you use maia through WhatsApp you also must follow WhatsApp's and Meta's terms and policies, and when you use another channel you must follow that channel's terms. Those platforms are not operated by maia, and we are not responsible for their availability, security, content policies or decisions to limit or block accounts or messages. Messages you send to maia's business account are delivered to our systems so maia can process them; see the Privacy Policy for how this works.

7.7. Numbers that change hands. If you stop using a phone number, tell us before you give it up. You agree to hold us harmless for messages sent to a number you gave us that was later reassigned and that you did not tell us about.

8. Connected Services

8.1. Your choice to connect. Some features require you to connect a Connected Service, such as Google Calendar or a financial account through Plaid. Connecting is always optional and is done only with your authorization. You can disconnect at any time from the dashboard or by asking maia; disconnecting stops new data from coming in and may limit some features.

8.2. Authorization. By connecting a Connected Service, you authorize maia to access, retrieve and use the information you allow from that service, only to provide the features you use, as described in our Privacy Policy. You represent that you are authorized to connect that account and to share its information with the Members who will be able to see it under your Family's permissions.

8.3. Third-party terms. Connected Services are provided by third parties under their own terms and privacy policies, which you are responsible for reviewing and following. For example, financial accounts are connected through Plaid Inc., and by connecting you also agree to Plaid's End User Privacy Policy. We do not control Connected Services and are not responsible for their accuracy, availability, security, fees or actions.

8.4. Google. maia's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.

9. Family finance features

9.1. Read-only and informational. Financial features are read-only summaries of data you choose to connect. Balances, transactions, categories, budgets, goals, allowances, shared-expense splits and reports are provided "as is" for your information and may be delayed, incomplete or incorrect because of the Connected Service, your bank, categorization errors or AI error. Always check your bank's official records before making decisions.

9.2. No custody, payments or advice. As stated in Section 4, maia does not hold, transfer or process money, does not pay anyone, and does not provide financial advice. Records of who owes whom are informal records among your Family and do not create a debt, contract or obligation enforceable against maia.

9.3. Visibility. Who can see which financial information depends on your Family's roles and permissions. Financial information is visible only to the Members to whom the Manager has given financial access (full or view-only); Members without that access do not see it. Simplified versions for children will be offered where available. Before connecting an account, make sure you are comfortable with who will see it.

10. Voice notes, recordings and journals

10.1. Your recordings. You can send voice notes and recordings to maia. maia transcribes and organizes them to help you.

10.2. Consent of people recorded. Some states, including Florida, require the consent of every person in a private conversation before it is recorded. You must obtain the consent of every person whose voice or words you record and share with maia, and you are solely responsible for complying with recording and wiretap laws. Do not use maia to record anyone secretly.

11. Voice Legacy

11.1. What it is. Where available, Voice Legacy lets a person (the "Legacy Owner") preserve recordings of their own voice, stories and advice for their Family, and lets authorized Family Members listen to or ask about those memories. Some Voice Legacy capabilities may be offered in stages, and some may not be available to you.

11.2. Only with the Legacy Owner's own consent. A Voice Legacy may be created only by or with the express, informed, recorded and written consent of the Legacy Owner, given personally while they are alive, at least 18 years old, and legally capable of consenting, through the Voice Legacy Consent we provide. No one — not even a close family member — may create a Voice Legacy of another person without that person's own consent, including after that person's death.

11.3. Control and revocation. The Legacy Owner decides who can access their Voice Legacy and what happens to it after their death (for example, keep it for the Family, freeze it, or delete it). The Legacy Owner can revoke consent and have their Voice Legacy deleted at any time.

11.4. Always labeled; never impersonation. Voice Legacy Output is always identified as a preserved or reconstructed memory — never as the living person speaking in real time. You may not use Voice Legacy, or any recording or Output from maia, to impersonate anyone, to deceive anyone, to obtain money, access or information, for commercial purposes, or outside your Family.

11.5. Synthetic voice. maia will not generate audio that imitates a person's voice unless that specific capability is offered and the Legacy Owner has separately and expressly consented to it under the Voice Legacy Consent. The Voice Data section of our Privacy Policy explains how voice data is handled, retained and destroyed.

12. Minors

12.1. Parental responsibility. Parents and legal guardians are responsible for deciding whether and how their children use maia, for supervising that use, and for the Content their children share.

12.2. Manager approval and limits. Minors may be added to a Family only by, or with the approval of, the Family Manager, who should give them only the access that is appropriate for their age (for example, no financial access). Minors cannot create Voice Legacy recordings or manage Members. Age-appropriate versions of certain features will be offered where available. Children's information is handled as described in the Children's Privacy section of the Privacy Policy. We do not show advertising to anyone and never profile children for advertising.

13. Household Staff

13.1. maia is not an employment service. maia helps Families coordinate schedules, tasks and confirmations with people who work in their home. maia is not an employer, joint employer, staffing agency, payroll provider or professional employer organization; does not screen, vet, background-check, recommend or supervise workers; and does not set or verify wages, hours, taxes or benefits. Any record of payments, hours or tasks between a Family and its Household Staff is informational only.

13.2. The Family's obligations. The Family (not maia) is solely responsible for its relationship with Household Staff and for complying with all applicable employment, wage-and-hour, tax, immigration, anti-discrimination, safety and privacy laws.

13.3. Staff privacy. Household Staff are told what the Family can see about them when they join. maia may not be used for covert surveillance of workers.

14. Subscription, free trial, billing and cancellation

14.1. Plans and prices. The current plans are shown on maia-assist.com and in the Service before you pay. As of the date above: Duo plan — US$9.99 per month, including 2 Members; each additional Member — US$4.99 per month. Prices are in U.S. dollars and do not include applicable taxes, which we will add where required.

14.2. Free trial. New Families may receive a free trial that ends after the first of 5 days or 30 messages (or other limits we disclose at the time). We do not charge you during the trial and we do not require a payment method to start it. When the trial ends, maia will send you a payment link; your paid subscription starts only when you complete payment. If you do not subscribe, some or all features stop working, and your data is handled as described in the Privacy Policy.

14.3. Automatic renewal. Paid subscriptions renew automatically every month at the then-current price, and your payment method will be charged at the start of each billing period, until you cancel. Before you pay, we will clearly show the price, the billing frequency, that the subscription renews automatically, and how to cancel. We will send you a confirmation after you subscribe that includes this information and how to cancel.

14.4. How to cancel — easily. You can cancel at any time, using any of these methods: (a) email support@maia-assist.com from any address, telling us the phone number you use with maia; (b) write "cancel subscription" to maia on WhatsApp; or (c) use the cancellation option in the web dashboard or billing portal, where available. Cancellation takes effect at the end of the current billing period; you keep access until then, and you will not be charged again. We will confirm your cancellation in writing within 2 business days. If your request reaches us before your renewal date, you will not be charged for the next period, even if our confirmation arrives later.

14.5. Refunds. Except as stated in this Section or required by law, payments are non-refundable and we do not provide refunds or credits for partial months or unused time. We will refund charges made in error (for example, duplicate charges or charges after a timely cancellation). If the Service is unavailable to your Family for more than 72 consecutive hours because of a failure within our control, you may request a prorated credit.

14.6. Changes in Members. Adding a Member adds that Member's price, and removing one reduces it. Changes may be prorated to your billing period as shown at checkout or in your billing portal.

14.7. Price changes. We may change prices. We will give you at least 30 days' notice by WhatsApp and/or email before a price increase applies to you, and it will apply starting with your next billing period after the notice. If you do not agree, you can cancel before the new price applies.

14.8. Payment processing. Payments are processed by Stripe, Inc. and are subject to Stripe's terms. We do not receive or store your full card number. You authorize us and Stripe to charge your payment method for all fees and taxes you owe. You are responsible for keeping your payment information current.

14.9. Failed payments. If a payment fails, we will notify you and may retry the charge. If payment is not completed within a reasonable grace period, we may suspend or downgrade the Service until it is.

14.10. Disputes about charges. If you think a charge is wrong, contact support@maia-assist.com within 60 days so we can fix it quickly. Nothing here limits your rights with your card issuer.

15. Acceptable use

You agree not to use the Service, and not to allow anyone to use it, to:

  1. break any law or regulation, or help anyone else do so;
  2. monitor, track, record or collect information about any person without their knowledge and any legally required consent, or stalk, harass, threaten, intimidate, bully or abuse anyone;
  3. impersonate any person, living or deceased, or misrepresent your identity, age, relationship or authority;
  4. create a Voice Legacy or voice content of anyone without that person's own consent;
  5. share content that sexually exploits or endangers children, or that is sexually explicit involving minors (we report such content to the National Center for Missing & Exploited Children and law enforcement);
  6. share content that is illegal, defamatory, hateful, violent, or that infringes others' intellectual property, privacy or publicity rights;
  7. send spam, chain messages or unsolicited messages, or use maia to message people who did not agree to receive messages;
  8. submit Social Security numbers, full payment card numbers, bank passwords, government ID numbers or other highly sensitive identifiers, unless a feature expressly asks for them;
  9. attempt to access accounts, Families or data that are not yours, or bypass roles, permissions, rate limits or security;
  10. reverse engineer, decompile, scrape, copy, resell, sublicense or build a competing service from the Service, its prompts or its Output, except as the law expressly allows;
  11. introduce malware, overload our systems, or interfere with the Service or other users;
  12. manipulate maia to produce harmful instructions or to evade its safety measures ("jailbreaking"); or
  13. use the Service for any commercial purpose other than managing your own household.

We may investigate suspected violations and take appropriate action, including removing Content, limiting features, suspending or terminating access, and reporting to authorities.

16. Your Content

16.1. You own your Content. As between you and maia, you and your Family keep all rights to your Content.

16.2. The limited license you give us. You grant maia a worldwide, non-exclusive, royalty-free, non-transferable (except to our successors) license to host, store, copy, process, transcribe, translate, analyze, transmit, display and create Output from your Content only as needed to provide, secure, maintain, support and improve the reliability of the Service for you and your Family, and as described in the Privacy Policy. This license ends when your Content is deleted from our systems, except for copies we must keep by law or that remain for a limited time in backups.

16.3. No AI training; no advertising. We do not use your Content to train AI models, we do not sell it, and we do not use it for advertising.

16.4. Your responsibility. You are responsible for your Content and for having all rights and consents needed to share it with maia and with the Members who can see it.

16.5. Output. Subject to these Terms, you may use Output for your personal and household purposes. Similar requests from different users may produce similar Output, and Output is not exclusive to you.

16.6. Feedback. If you send us ideas or suggestions, we may use them without obligation to you. We will not identify you publicly without your permission.

17. Our intellectual property

The Service — including the software, dashboard, website, designs, the maia name, logo and isotype, prompts, models, workflows and documentation — is owned by maia or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your household. All rights not expressly granted are reserved. You may not use the maia name or logo without our prior written permission.

18. Privacy and data security

18.1. Our Privacy Policy explains what we collect, how we use it, who can see it inside your Family, who we share it with, how long we keep it, and your rights. It is part of these Terms.

18.2. We use administrative, technical and physical safeguards designed to protect your information, described in the Privacy Policy. No system is perfectly secure, and we cannot guarantee that unauthorized parties will never defeat our safeguards. If a security incident affects your personal information, we will notify you as required by law.

19. Availability, changes and new features

19.1. We work to keep maia available, but the Service may be interrupted for maintenance, updates, failures of third parties (including Meta/WhatsApp, cloud providers, AI providers, Plaid, Google or Stripe) or events outside our control.

19.2. We may add, change or remove features. If we remove a core feature you pay for, we will give you reasonable notice and, where appropriate, a prorated refund of prepaid fees for the affected period.

19.3. Beta and preview features. Some features may be labeled beta, preview, early access or similar. They may be less reliable, may change or be discontinued, and are provided "as is" with no commitments.

20. Suspension and termination

20.1. By you. You may stop using the Service at any time and cancel as described in Section 14.4. You can also ask us to delete your account and data (see the Privacy Policy).

20.2. By us. We may suspend or terminate your access, a Member's access or a Family Account, with or without notice, if: you or a Member violate these Terms or the law; it is necessary to protect any person, the Service or other users; required by law or by a messaging platform; payment is not made; or we discontinue the Service. Where reasonable and legally permitted, we will give notice and an opportunity to fix the problem first. If we terminate the Service for reasons other than your breach, we will refund prepaid fees for the unused period.

20.3. Effect. When a Family Account ends, maia stops responding to its Members, connected services are disconnected, and data is exported (if you request it before deletion) and deleted according to the Privacy Policy. Sections that by their nature should survive (including 4, 5, 9, 13, 16.4, 21–31) survive termination.

21. Disclaimer of warranties

WE DO NOT WARRANT THAT THE SERVICE OR OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, TIMELY, SECURE, UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS; THAT REMINDERS OR MESSAGES WILL BE DELIVERED; OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE, AND RELY ON ANY OUTPUT, AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

22. Limitation of liability

22.1. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAIA, GRUPO VIDA FARMA LLC, OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS OR LICENSORS (THE "MAIA PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, OUTPUT OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), EVEN IF ADVISED OF THEIR POSSIBILITY.

22.2. WITHOUT LIMITING THE ABOVE, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAIA PARTIES ARE NOT LIABLE FOR DAMAGES ARISING FROM: (A) RELIANCE ON OUTPUT, INCLUDING REMINDERS, SCHEDULES, TRANSCRIPTIONS, SUMMARIES OR FINANCIAL INFORMATION; (B) MISSED, LATE, DUPLICATED OR UNDELIVERED MESSAGES OR REMINDERS; (C) ANY EMERGENCY, MEDICAL, FINANCIAL, CHILDCARE, CAREGIVING, EMPLOYMENT OR SAFETY DECISION OR OUTCOME; (D) CONNECTED SERVICES, MESSAGING PLATFORMS, CARRIERS OR OTHER THIRD PARTIES; (E) THE CONDUCT OR CONTENT OF ANY MEMBER OR OTHER USER; (F) UNAUTHORIZED ACCESS TO YOUR PHONE, WHATSAPP ACCOUNT OR LOGIN LINKS; OR (G) EVENTS BEYOND OUR REASONABLE CONTROL.

22.3. TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAIA PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MAIA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

22.4. THESE LIMITATIONS ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND MAIA AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR OUR GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT OR FRAUD, OR FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE WHERE THE LAW DOES NOT ALLOW IT TO BE LIMITED.

23. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless the maia Parties from and against any third-party claims, and related losses, damages, liabilities, costs and reasonable attorneys' fees, arising out of: (a) your Content; (b) your violation of these Terms or of law; (c) your violation of anyone's rights, including by sharing information about, recording, or inviting a person without the required consent or authority; (d) your relationship with your Household Staff; or (e) use of the Service through your phone number or account that you authorized or failed to reasonably secure. We will notify you of any such claim and may participate in the defense with counsel of our choice. You may not settle a claim that imposes obligations on us without our written consent. This Section does not require you to indemnify us for our own negligence or misconduct.

24. Release

To the extent permitted by law, you release the maia Parties from claims, demands and damages of every kind arising out of disputes between you and other Members, other users or third parties (including Connected Services and messaging platforms). If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release does not apply to claims arising from our own gross negligence or intentional misconduct.

25. Governing law and venue

These Terms and any dispute between you and maia are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 27. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any dispute not subject to arbitration, you and maia submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, except that either party may bring an individual claim in small claims court where the claimant resides. Nothing in this Section deprives you of the protection of mandatory consumer-protection laws of the state where you live.

26. Informal dispute resolution first

Before starting arbitration or a court case, you and maia agree to try to resolve the dispute informally. The party with a dispute must send a written notice describing the claim, the relief requested, and contact information — to maia at legal@maia-assist.com and by mail to the address in Section 1.1, or to you at your phone number and/or email on file. The notice must be individual to the claimant and signed by them (and by their lawyer, if they have one). For 60 days after the notice is received, the parties will negotiate in good faith, including, if either party asks, a phone or video conference in which the claimant participates personally. Limitation periods are tolled during this process.

27. Arbitration agreement and class action waiver

27.1. Binding individual arbitration. Except as provided in Section 27.5, any dispute, claim or controversy between you and maia arising out of or relating to these Terms, the Service or your relationship with maia, whether based on contract, tort, statute, fraud or any other legal theory, and whether it arose before or after you accepted these Terms, will be resolved by final and binding individual arbitration, not in court. The arbitrator (not a court) decides questions about the scope, enforceability and formation of this arbitration agreement, except as stated in Sections 27.3 and 27.7.

27.2. Rules and forum. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (and, where applicable, its Mass Arbitration Supplementary Rules) in effect when the claim is filed, available at adr.org. The arbitration will be held by videoconference or in the county where you live, or another place we agree on. For claims of US$25,000 or less, the arbitration may be decided on written submissions unless the arbitrator requires a hearing. Payment of filing, administration and arbitrator fees will be governed by the AAA rules; if you show that those fees would be prohibitive for you, we will pay them as required by those rules or by law. The arbitrator may award on an individual basis any relief that would be available in court, including attorneys' fees where the law allows.

27.3. Class action and jury trial waiver. YOU AND MAIA EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. YOU AND MAIA EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate claims of more than one person and may award relief only in favor of the individual party seeking relief and only to the extent necessary for that individual claim. If a court decides that this class action waiver is unenforceable as to a particular claim or remedy (such as public injunctive relief), then that claim or remedy (and only that one) will be severed and decided by a court after all arbitrable claims are resolved, and the rest of this Section still applies.

27.4. Mass filings. If 25 or more similar claims are filed against maia by or with the assistance of the same law firm or coordinated group, the parties agree that the claims will be administered in batches under the AAA Mass Arbitration Supplementary Rules, and that statutes of limitation are tolled for claims waiting to be filed. This is designed to resolve claims efficiently and fairly and not to deny anyone a remedy.

27.5. Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies; (b) seek injunctive or equitable relief in court to stop infringement or misuse of intellectual property or unauthorized access to systems or data; and (c) report issues to government agencies.

27.6. Your right to opt out — 30 days. You may opt out of this arbitration agreement by sending an email to legal@maia-assist.com within 30 days after you first accept these Terms, with the subject "Arbitration Opt-Out," stating your full name, the phone number you use with maia, and that you opt out of arbitration. Opting out does not affect any other part of these Terms. If you opted out of a prior version, that opt-out remains effective.

27.7. Changes to this Section. If we change this Section after you accepted it, you may reject the change by writing to legal@maia-assist.com within 30 days of the change, and the prior version will continue to apply to you.

27.8. Severability. Except as stated in Section 27.3, if any part of this Section 27 is found unenforceable, the rest remains in effect. If this entire Section is found unenforceable, disputes will be resolved in the courts described in Section 25.

28. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you at least 30 days before it takes effect by WhatsApp and/or email and by updating the date at the top. Changes will not apply retroactively. If you continue to use the Service after the changes take effect, you accept them; if you do not agree, you may cancel before they take effect and we will not charge you under the new terms. Changes required by law, or that address security or new features, may take effect sooner.

29. Electronic communications and signatures

You agree to receive contracts, notices, disclosures and other communications from us electronically (by WhatsApp, email, the dashboard or our website), and that electronic communications satisfy any legal requirement that they be in writing. Your electronic acceptance (including a message or a tap) is your signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar state laws. You may request a paper copy at no charge at support@maia-assist.com.

30. General

30.1. Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and maia about the Service and supersede prior agreements on that subject.

30.2. Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate, with notice to you; the Privacy Policy explains how your data is protected in that case.

30.3. Severability; no waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver.

30.4. Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor actions, government actions, power or internet failures, and failures of third-party platforms or providers.

30.5. Relationship. Nothing in these Terms creates a partnership, joint venture, employment, agency or fiduciary relationship.

30.6. No third-party beneficiaries. These Terms do not give any right to any third party, except that the maia Parties may enforce Sections 22–24.

30.7. Language. We provide these Terms in English and Spanish. Both versions are intended to say the same thing. To the extent permitted by law, if there is a conflict, the English version controls.

30.8. Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation."

1. Quiénes somos y qué es este acuerdo

1.1. La empresa. maia es un servicio de GRUPO VIDA FARMA LLC, una sociedad de responsabilidad limitada de Florida (Documento de Florida N.º L25000268846), que opera con el nombre comercial "maia", con oficina principal en 3625 NW 82nd Ave, Suite 100KK, Doral, Florida 33166, Estados Unidos ("maia", "nosotros" o "nuestro").

1.2. El acuerdo. Estos Términos del Servicio (los "Términos") son un contrato legal vinculante entre tú y maia. Rigen tu acceso y uso del asistente maia en WhatsApp y en cualquier otro canal de mensajería que ofrezcamos, del sitio web maia-assist.com, del panel web de maia y de cualquier función, contenido, comunicación y software relacionados (en conjunto, el "Servicio").

1.3. Documentos que forman parte de estos Términos. Se incorporan por referencia: (a) nuestra Política de Privacidad, incluidas sus secciones de Privacidad de Menores, Datos de Salud del Consumidor y Datos de Voz; (b) los términos o consentimientos específicos que te mostremos antes de usar una función, como el Consentimiento de Legado de Voz, el consentimiento de Cuentas Financieras Conectadas y el consentimiento parental para menores de 13 años (cada uno, "Términos Adicionales"). Si un Término Adicional contradice estos Términos, prevalece el Término Adicional para esa función.

1.4. Cómo aceptas. Aceptas estos Términos cuando (a) tocas o haces clic en un botón o casilla que indica que estás de acuerdo; (b) envías un mensaje que crea una familia ("crear mi familia") o que acepta una invitación después de que se te mostró un enlace a estos Términos; (c) pagas una suscripción; o (d) usas el Servicio de cualquier otra forma. Si no estás de acuerdo, no uses el Servicio.

1.5. Lee la Sección 27 (Arbitraje). Exige que la mayoría de las disputas se resuelvan mediante arbitraje individual vinculante en lugar de en un tribunal, y renuncia a las demandas colectivas y a los juicios con jurado. Puedes excluirte dentro de los 30 días.

2. Definiciones

3. Requisitos y edad

3.1. El Encargado de la Familia debe tener al menos 18 años (o la mayoría de edad donde vive, si es mayor), capacidad para celebrar un contrato vinculante y residencia en Estados Unidos. Al crear una Familia lo confirmas.

3.2. Los Integrantes Adultos y el Personal Doméstico deben tener al menos 18 años.

3.3. Los menores necesitan la aprobación del Encargado. Ninguna persona menor de 18 años puede ser agregada a una Familia, ni usar el Servicio como parte de ella, sin la aprobación del Encargado de la Familia. Los Integrantes Menores de 13 a 17 años solo pueden usar el Servicio como parte de una Familia cuyo Encargado sea su padre, madre o tutor legal (o tenga su autorización), y solo con esa aprobación. El padre, la madre o el tutor acepta estos Términos en nombre del menor y es responsable de su uso.

3.4. Los menores de 13 años solo pueden ser conectados al Servicio por su padre, madre o tutor legal que sea el Encargado de la Familia y que antes otorgue un consentimiento parental verificable, como se describe en la sección de Privacidad de Menores de nuestra Política de Privacidad. No permitimos a sabiendas que menores de 13 años creen cuentas o se unan por su cuenta. Si descubrimos que recopilamos información personal de un menor de 13 años sin consentimiento parental verificable, la eliminaremos.

3.5. Quién no puede usar maia. No puedes usar el Servicio si la ley de EE. UU. te lo prohíbe, si te encuentras en un país sujeto a sanciones integrales de EE. UU., o si antes cancelamos tu acceso por incumplir estos Términos.

4. Qué es maia y qué no es

4.1. Qué es maia. maia es un asistente de software con inteligencia artificial. Ayuda a las Familias a coordinar calendarios y eventos, recordatorios, listas de compras y de pendientes, rutinas, bitácoras familiares y notas de voz, horarios del personal doméstico, metas familiares, resúmenes informativos de cuentas financieras conectadas y, donde esté disponible, recuerdos de voz ("Legado de Voz"). Te comunicas con maia principalmente por WhatsApp y a través del panel web.

4.2. maia es una IA, no una persona. Los mensajes de maia los genera software de forma automática. maia no es una persona y ningún humano lee ni responde tus mensajes en tiempo real. Te lo decimos con claridad para que siempre sepas que hablas con un sistema automatizado.

4.3. maia NO es un servicio de emergencias. maia no vigila la seguridad de nadie, no contacta a servicios de emergencia y no puede atender emergencias. Nunca dependas de maia en una emergencia. Si tú u otra persona pueden estar en peligro, tienen una emergencia médica o corren riesgo de sufrir daño, llama de inmediato al 911 (o al número de emergencias local). Es posible que los mensajes sobre emergencias enviados a maia no se lean, no se entiendan o no se atiendan.

4.4. maia NO es un servicio médico ni de salud. maia puede ayudarte a recordar citas u horarios de medicamentos que tú ingreses. maia no da consejo médico, diagnóstico ni tratamiento; no verifica dosis, interacciones ni recetas; y no reemplaza a un médico, farmacéutico, enfermero o cuidador. Sigue siempre las indicaciones de un profesional de la salud calificado y las etiquetas de tus medicamentos. Un recordatorio que no llega, llega tarde, llega duplicado o es incorrecto nunca debe hacer que alguien omita o duplique una dosis: mantén tu propio sistema independiente para todo lo crítico.

4.5. maia NO es asesor financiero, de inversiones, impositivo ni contable. maia puede mostrar saldos, categorizar movimientos, resumir gastos y llevar registros informativos de mesadas, gastos compartidos o de quién le debe a quién. Todo esto es solo informativo y puede estar incompleto, atrasado o equivocado. maia no da asesoría financiera, de inversión, de crédito, impositiva ni legal, y no recomienda ningún producto financiero.

4.6. maia NUNCA mueve dinero. maia no puede ni va a transferir fondos, pagar cuentas, hacer compras por ti, custodiar dinero ni actuar como procesador de pagos entre Integrantes. Los datos bancarios conectados son de solo lectura. Cualquier "saldo", "reparto" o "mesada" en maia es un registro, no un pago. Eres el único responsable de los pagos que hagas fuera del Servicio.

4.7. maia NO es asesor legal, servicio de cuidado infantil, supervisor, sistema de seguridad ni cuidador. maia no supervisa a niños, adultos mayores ni a nadie, y no reemplaza la supervisión de un adulto, el cuidado profesional ni un sistema de seguridad del hogar.

4.8. maia NO es un empleador, una agencia de personal ni un servicio de nómina. Ver la Sección 13.

5. Inteligencia artificial: cómo funciona y sus límites

5.1. Los Resultados pueden estar equivocados. maia usa aprendizaje automático y modelos de lenguaje propios y de proveedores de IA externos. La IA puede malinterpretar mensajes o notas de voz, "alucinar" (afirmar cosas falsas con seguridad), transcribir mal nombres, fechas, horas o montos, confundir personas, perder contexto o producir Resultados incompletos, desactualizados, inapropiados o inexactos. Un Resultado no es un hecho verificado. Eres responsable de revisar los Resultados antes de confiar en ellos y siempre tienes la decisión final.

5.2. Acciones que maia hace por ti. Cuando se lo pides, maia puede hacer acciones en tu nombre dentro del Servicio: por ejemplo, crear o cambiar eventos, enviar recordatorios o mensajes a otros Integrantes de tu Familia, agregar elementos a listas, invitar a un Integrante o generar un informe. Autorizas a maia a hacer las acciones que pides y las que se desprenden razonablemente de tu pedido. En acciones que afectan a otras personas o que son difíciles de deshacer, maia puede pedirte confirmación primero; eres responsable de las confirmaciones que das. maia no hará acciones que tu rol no tiene permitidas.

5.3. No garantizamos horarios ni entregas. Los recordatorios, avisos y mensajes dependen de tu teléfono, tu conexión a internet, WhatsApp, Meta, las operadoras, la zona horaria configurada y otros sistemas que no controlamos. Pueden llegar tarde, más de una vez o no llegar.

5.4. Revisión humana. No tenemos personas leyendo tus conversaciones para responderlas. Solo personal limitado y autorizado puede acceder a Contenido específico en los casos que describe nuestra Política de Privacidad: por ejemplo, cuando pides soporte y lo permites, para investigar abusos o incidentes de seguridad, o cuando la ley lo exige. Cada acceso queda registrado.

5.5. No entrenamos IA con tu Contenido. No usamos el Contenido de tu Familia para entrenar modelos de IA propios ni de terceros, y exigimos a nuestros proveedores de IA que no lo usen para entrenar. Ver la Política de Privacidad.

5.6. Temas sensibles. maia está diseñada para rechazar o redirigir ciertos pedidos, como los que dañarían a alguien, incumplirían estos Términos o requieren ayuda profesional. Si tú o alguien que conoces está pasando por un momento difícil, en EE. UU. puedes llamar o escribir al 988 (Línea de Prevención del Suicidio y Crisis) o llamar al 911 en una emergencia.

6. Cuentas familiares, roles y permisos

6.1. El Encargado de la Familia. El Encargado crea y controla la Cuenta Familiar, es responsable de todos los cargos, elige el plan, invita y quita Integrantes, asigna roles y permisos y puede cambiar la configuración de la Familia. Es responsable de toda la actividad que autorice en la Cuenta Familiar, incluida la de los Integrantes que invitó.

6.2. Roles. Hoy el Servicio distingue entre Encargados e Integrantes. Los Encargados administran la Familia y deciden, para cada Integrante, si tiene acceso completo, de solo lectura o ningún acceso a la información financiera, y quién puede aportar a la bitácora familiar. Estamos agregando roles más específicos (como Integrante Menor y Personal Doméstico) con sus propios límites; mientras no estén disponibles, el Encargado es responsable de darle a cada persona solo el acceso que le corresponde. Los permisos vigentes se explican en el Servicio y en nuestra Política de Privacidad. Podemos ajustar roles y permisos para mejorar la privacidad o la seguridad.

6.3. Lo que declaras al invitar a alguien. Cuando invitas o agregas a una persona, o compartes información sobre una persona (por ejemplo, tu pareja, un hijo, tu madre o un empleado), declaras y garantizas que: (a) tienes derecho legal a hacerlo; (b) cada adulto que invitas aceptó unirse y recibir mensajes de maia; (c) en el caso de Integrantes Menores y niños, eres su padre, madre o tutor legal, o tienes la autorización de esa persona; (d) en el caso del Personal Doméstico, la persona fue informada de lo que la Familia podrá ver sobre ella y lo aceptó; y (e) compartir esa información no viola los derechos de nadie ni ninguna ley.

6.4. La cuenta de cada Integrante. Cada Integrante habla con maia desde su propio número de teléfono. Lo que un Integrante le cuenta a maia en privado se maneja según las reglas de visibilidad que explica la Política de Privacidad. maia no es una herramienta para vigilar a adultos en secreto: el Servicio está diseñado para que cada adulto pueda saber qué pueden ver los demás sobre él.

6.5. Quitar Integrantes y salir de una Familia. Un Encargado puede quitar a un Integrante en cualquier momento. Un Integrante Adulto puede salir de una Familia cuando quiera diciéndoselo a maia o escribiéndonos. Cuando un Integrante sale o es quitado, pierde el acceso; cómo se guardan o borran sus datos lo describe la Política de Privacidad.

6.6. Conflictos familiares. No tomamos partido en desacuerdos entre Integrantes de una Familia, incluidos separaciones, divorcios o temas de custodia. La Cuenta Familiar pertenece a su(s) Encargado(s) y es administrada por ellos. Podemos cumplir órdenes judiciales y procesos legales válidos. Si crees que tu seguridad está en riesgo por otro Integrante (por ejemplo, en un caso de violencia doméstica), escríbenos a support@maia-assist.com y te ayudaremos a salir de la Familia y a proteger tu información en la medida en que la ley lo permita.

6.7. Tu número de teléfono es tu identidad. En maia, tu número de teléfono te identifica. Cualquiera que pueda usar tu teléfono o tu cuenta de WhatsApp puede hablar con maia como si fueras tú y ver lo que tú puedes ver. Eres responsable de mantener seguros tu teléfono, tu SIM, tu cuenta de WhatsApp y cualquier enlace de acceso, y de avisarnos de inmediato a support@maia-assist.com si tu número cambia, se pierde, te lo roban, lo transfieres o se reasigna, o si sospechas un acceso no autorizado. Podemos suspender el acceso para proteger a tu Familia mientras verificamos el cambio.

7. Canales de mensajería, mensajes y tu consentimiento

7.1. Consentimiento para recibir mensajes. Al crear una Familia, aceptar una invitación o darnos tu número, aceptas recibir mensajes de maia por WhatsApp (y, cuando corresponda, por SMS, iMessage/RCS o correo electrónico) relacionados con el Servicio: respuestas a tus pedidos, recordatorios y avisos que tú o tu Familia configuren, invitaciones, mensajes de bienvenida, avisos de cuenta, seguridad, facturación y pagos, y cambios importantes del Servicio ("Mensajes del Servicio"). Los Mensajes del Servicio pueden enviarse con tecnología automatizada. Aceptarlos no es condición para comprar nada, pero sin ellos el Servicio no puede funcionar.

7.2. Los mensajes de marketing requieren un consentimiento aparte. Solo te enviaremos mensajes promocionales o de marketing por WhatsApp, SMS o teléfono si nos das antes, por separado, tu consentimiento expreso y por escrito, y puedes retirarlo en cualquier momento. Aceptar el marketing nunca es condición de compra.

7.3. Cómo dejar de recibir mensajes. Puedes dejar de recibir mensajes de maia en cualquier momento respondiendo STOP (o "cancelar mis mensajes") en ese canal, o saliendo de la Familia. Puede que recibas un mensaje que confirme tu pedido. Si dejas de recibir los Mensajes del Servicio, maia ya no podrá ayudarte. Responde HELP o escribe a support@maia-assist.com para pedir ayuda.

7.4. Horas de silencio. Las Familias pueden configurar horas de silencio. Salvo los recordatorios que programes para esas horas, maia intenta no escribir durante ellas, pero no lo garantizamos.

7.5. Cargos de tu operadora. Pueden aplicarse cargos por mensajes y datos de tu operadora o proveedor de internet. No somos responsables de esos cargos.

7.6. Términos de las plataformas de mensajería. Cuando usas maia por WhatsApp también debes cumplir los términos y políticas de WhatsApp y de Meta, y cuando usas otro canal, los de ese canal. Esas plataformas no las opera maia, y no somos responsables de su disponibilidad, su seguridad, sus políticas de contenido ni de sus decisiones de limitar o bloquear cuentas o mensajes. Los mensajes que envías a la cuenta de empresa de maia llegan a nuestros sistemas para que maia pueda procesarlos; la Política de Privacidad explica cómo funciona.

7.7. Números que cambian de dueño. Si dejas de usar un número de teléfono, avísanos antes de darlo de baja. Nos eximes de responsabilidad por los mensajes enviados a un número que nos diste, que después se reasignó a otra persona y del que no nos avisaste.

8. Servicios Conectados

8.1. Tú decides si conectar. Algunas funciones requieren conectar un Servicio Conectado, como Google Calendar o una cuenta financiera a través de Plaid. Conectar siempre es opcional y solo se hace con tu autorización. Puedes desconectar en cualquier momento desde el panel o pidiéndoselo a maia; al desconectar dejan de entrar datos nuevos y algunas funciones pueden quedar limitadas.

8.2. Autorización. Al conectar un Servicio Conectado, autorizas a maia a acceder, obtener y usar la información que permitas de ese servicio, solo para prestarte las funciones que usas, según describe nuestra Política de Privacidad. Declaras que estás autorizado a conectar esa cuenta y a compartir su información con los Integrantes que podrán verla según los permisos de tu Familia.

8.3. Términos de terceros. Los Servicios Conectados los prestan terceros bajo sus propios términos y políticas de privacidad, que te corresponde revisar y cumplir. Por ejemplo, las cuentas financieras se conectan a través de Plaid Inc., y al conectarlas también aceptas la Política de Privacidad para Usuarios Finales de Plaid. No controlamos los Servicios Conectados y no somos responsables de su exactitud, disponibilidad, seguridad, cargos o acciones.

8.4. Google. El uso y la transferencia que maia hace de la información recibida de las API de Google cumplen la Política de Datos de Usuario de los Servicios de API de Google, incluidos sus requisitos de Uso Limitado.

9. Funciones de finanzas familiares

9.1. Solo lectura e informativas. Las funciones financieras son resúmenes de solo lectura de los datos que eliges conectar. Saldos, movimientos, categorías, presupuestos, metas, mesadas, repartos de gastos compartidos e informes se ofrecen "tal cual", solo como información, y pueden estar atrasados, incompletos o equivocados por causa del Servicio Conectado, tu banco, errores de categorización o errores de la IA. Revisa siempre los registros oficiales de tu banco antes de tomar decisiones.

9.2. Sin custodia, pagos ni asesoría. Como dice la Sección 4, maia no custodia, transfiere ni procesa dinero, no le paga a nadie y no da asesoría financiera. Los registros de quién le debe a quién son registros informales de tu Familia y no crean una deuda, un contrato ni una obligación exigible a maia.

9.3. Visibilidad. Quién puede ver qué información financiera depende de los roles y permisos de tu Familia. La información financiera solo la ven los Integrantes a quienes el Encargado les dio acceso financiero (completo o de solo lectura); quienes no tienen ese acceso no la ven. Las versiones simplificadas para niños se ofrecerán cuando estén disponibles. Antes de conectar una cuenta, asegúrate de estar de acuerdo con quién la verá.

10. Notas de voz, grabaciones y bitácoras

10.1. Tus grabaciones. Puedes enviarle a maia notas de voz y grabaciones. maia las transcribe y las organiza para ayudarte.

10.2. Consentimiento de las personas grabadas. Algunos estados, incluida Florida, exigen el consentimiento de todas las personas que participan en una conversación privada antes de grabarla. Debes obtener el consentimiento de toda persona cuya voz o palabras grabes y compartas con maia, y eres el único responsable de cumplir las leyes sobre grabaciones e intercepción de comunicaciones. No uses maia para grabar a nadie en secreto.

11. Legado de Voz

11.1. Qué es. Donde esté disponible, el Legado de Voz permite que una persona (el "Titular del Legado") conserve grabaciones de su propia voz, sus historias y sus consejos para su Familia, y que los Integrantes autorizados las escuchen o pregunten sobre esos recuerdos. Algunas capacidades del Legado de Voz pueden ofrecerse por etapas, y algunas pueden no estar disponibles para ti.

11.2. Solo con el consentimiento del propio Titular. Un Legado de Voz solo puede crearlo el Titular del Legado, o un tercero con su consentimiento expreso, informado, grabado y por escrito, otorgado personalmente en vida, con al menos 18 años y con capacidad legal para consentir, a través del Consentimiento de Legado de Voz que proporcionamos. Nadie —ni siquiera un familiar cercano— puede crear un Legado de Voz de otra persona sin el consentimiento de esa persona, tampoco después de su fallecimiento.

11.3. Control y revocación. El Titular del Legado decide quién puede acceder a su Legado de Voz y qué pasa con él después de su fallecimiento (por ejemplo, conservarlo para la Familia, congelarlo o borrarlo). El Titular puede revocar su consentimiento y pedir que se borre su Legado de Voz en cualquier momento.

11.4. Siempre identificado, nunca suplantación. Los Resultados del Legado de Voz siempre se identifican como un recuerdo conservado o reconstruido, nunca como la persona hablando en vivo. No puedes usar el Legado de Voz, ni ninguna grabación o Resultado de maia, para hacerte pasar por nadie, engañar a nadie, obtener dinero, accesos o información, con fines comerciales ni fuera de tu Familia.

11.5. Voz sintética. maia no generará audio que imite la voz de una persona salvo que esa función específica se ofrezca y que el Titular del Legado la haya consentido de forma expresa y por separado en el Consentimiento de Legado de Voz. La sección de Datos de Voz de nuestra Política de Privacidad explica cómo se manejan, conservan y destruyen los datos de voz.

12. Menores

12.1. Responsabilidad de los padres. Los padres y tutores legales son responsables de decidir si sus hijos usan maia y cómo, de supervisar ese uso y del Contenido que sus hijos comparten.

12.2. Aprobación del Encargado y límites. Los menores solo pueden ser agregados a una Familia por el Encargado o con su aprobación, y el Encargado debe darles solo el acceso adecuado a su edad (por ejemplo, sin acceso financiero). Los menores no pueden crear grabaciones de Legado de Voz ni gestionar Integrantes. Las versiones de ciertas funciones adaptadas a su edad se ofrecerán cuando estén disponibles. La información de los niños se maneja como describe la sección de Privacidad de Menores de la Política de Privacidad. No mostramos publicidad a nadie y nunca creamos perfiles publicitarios de niños.

13. Personal Doméstico

13.1. maia no es un servicio de empleo. maia ayuda a las Familias a coordinar horarios, tareas y confirmaciones con las personas que trabajan en su hogar. maia no es empleador, coempleador, agencia de personal, proveedor de nómina ni organización de empleo profesional; no selecciona, evalúa, verifica antecedentes, recomienda ni supervisa a trabajadores; y no fija ni verifica salarios, horarios, impuestos ni beneficios. Cualquier registro de pagos, horas o tareas entre una Familia y su Personal Doméstico es solo informativo.

13.2. Obligaciones de la Familia. La Familia (no maia) es la única responsable de su relación con el Personal Doméstico y de cumplir todas las leyes aplicables de empleo, salarios y horas, impuestos, inmigración, no discriminación, seguridad y privacidad.

13.3. Privacidad del personal. Al unirse, el Personal Doméstico es informado de lo que la Familia puede ver sobre él. maia no puede usarse para vigilar en secreto a los trabajadores.

14. Suscripción, prueba gratis, cobros y cancelación

14.1. Planes y precios. Los planes vigentes se muestran en maia-assist.com y en el Servicio antes de pagar. A la fecha indicada arriba: plan Dúo: US$9.99 al mes, incluye 2 Integrantes; cada Integrante adicional: US$4.99 al mes. Los precios están en dólares estadounidenses y no incluyen los impuestos aplicables, que agregaremos cuando corresponda.

14.2. Prueba gratis. Las Familias nuevas pueden recibir una prueba gratis que termina con lo primero que ocurra entre 5 días o 30 mensajes (u otros límites que informemos en su momento). No te cobramos durante la prueba y no pedimos un medio de pago para empezarla. Al terminar la prueba, maia te enviará un enlace de pago; tu suscripción paga empieza solo cuando completas el pago. Si no te suscribes, algunas o todas las funciones dejan de funcionar, y tus datos se manejan como describe la Política de Privacidad.

14.3. Renovación automática. Las suscripciones pagas se renuevan automáticamente cada mes al precio vigente en ese momento, y se cobra a tu medio de pago al inicio de cada período, hasta que canceles. Antes de que pagues, te mostraremos con claridad el precio, la frecuencia de cobro, que la suscripción se renueva automáticamente y cómo cancelar. Después de suscribirte te enviaremos una confirmación con esa información y la forma de cancelar.

14.4. Cómo cancelar, fácil. Puedes cancelar en cualquier momento de cualquiera de estas formas: (a) escribiendo a support@maia-assist.com desde cualquier correo, indicando el número de teléfono que usas con maia; (b) escribiéndole "cancelar suscripción" a maia por WhatsApp; o (c) con la opción de cancelar del panel web o del portal de facturación, cuando esté disponible. La cancelación se hace efectiva al final del período en curso; mantienes el acceso hasta entonces y no se te volverá a cobrar. Te confirmaremos la cancelación por escrito dentro de 2 días hábiles. Si tu pedido nos llega antes de la fecha de renovación, no se te cobrará el período siguiente, aunque nuestra confirmación llegue después.

14.5. Reembolsos. Salvo lo que dice esta Sección o lo que exija la ley, los pagos no son reembolsables y no damos reembolsos ni créditos por meses parciales o tiempo no usado. Reembolsaremos los cobros hechos por error (por ejemplo, cobros duplicados o posteriores a una cancelación hecha a tiempo). Si el Servicio no está disponible para tu Familia por más de 72 horas seguidas por una falla bajo nuestro control, puedes pedir un crédito proporcional.

14.6. Cambios de Integrantes. Agregar un Integrante suma su precio y quitarlo lo resta. Los cambios pueden prorratearse en tu período de cobro, como se muestra al pagar o en tu portal de facturación.

14.7. Cambios de precio. Podemos cambiar los precios. Te avisaremos por WhatsApp o correo con al menos 30 días de anticipación antes de que un aumento se aplique a ti, y se aplicará a partir del período de cobro siguiente al aviso. Si no estás de acuerdo, puedes cancelar antes de que rija el nuevo precio.

14.8. Procesamiento de pagos. Los pagos los procesa Stripe, Inc. y se rigen por los términos de Stripe. No recibimos ni guardamos el número completo de tu tarjeta. Nos autorizas, a nosotros y a Stripe, a cobrar a tu medio de pago todos los cargos e impuestos que debas. Eres responsable de mantener actualizada tu información de pago.

14.9. Pagos fallidos. Si un pago falla, te avisaremos y podremos reintentar el cobro. Si el pago no se completa dentro de un período de gracia razonable, podemos suspender o limitar el Servicio hasta que se complete.

14.10. Reclamos por cobros. Si crees que un cobro está mal, escríbenos a support@maia-assist.com dentro de los 60 días para corregirlo rápido. Nada de esto limita tus derechos ante el emisor de tu tarjeta.

15. Uso aceptable

Aceptas no usar el Servicio, ni permitir que nadie lo use, para:

  1. violar cualquier ley o reglamento, o ayudar a otro a hacerlo;
  2. vigilar, rastrear, grabar o recopilar información de cualquier persona sin su conocimiento y sin el consentimiento que exija la ley, o acosar, amenazar, intimidar, hostigar o maltratar a alguien;
  3. hacerte pasar por cualquier persona, viva o fallecida, o falsear tu identidad, edad, parentesco o autoridad;
  4. crear un Legado de Voz o contenido de voz de alguien sin el consentimiento de esa persona;
  5. compartir contenido que explote o ponga en peligro sexualmente a menores, o contenido sexual explícito que involucre a menores (denunciamos ese contenido al National Center for Missing & Exploited Children y a las autoridades);
  6. compartir contenido ilegal, difamatorio, de odio o violento, o que infrinja la propiedad intelectual, la privacidad o los derechos de imagen de otros;
  7. enviar spam, cadenas o mensajes no solicitados, o usar maia para escribirle a personas que no aceptaron recibir mensajes;
  8. enviar números de Seguro Social, números completos de tarjeta, contraseñas bancarias, números de documentos de identidad u otros identificadores muy sensibles, salvo que una función lo pida expresamente;
  9. intentar acceder a cuentas, Familias o datos que no son tuyos, o saltarte roles, permisos, límites de uso o medidas de seguridad;
  10. hacer ingeniería inversa, descompilar, extraer datos de forma automatizada, copiar, revender, sublicenciar o crear un servicio competidor a partir del Servicio, sus instrucciones o sus Resultados, salvo lo que la ley permita expresamente;
  11. introducir software malicioso, sobrecargar nuestros sistemas o interferir con el Servicio o con otros usuarios;
  12. manipular a maia para que dé instrucciones dañinas o para evadir sus medidas de seguridad; o
  13. usar el Servicio con cualquier fin comercial distinto de organizar tu propio hogar.

Podemos investigar posibles incumplimientos y tomar las medidas adecuadas, como quitar Contenido, limitar funciones, suspender o cancelar el acceso y avisar a las autoridades.

16. Tu Contenido

16.1. Tu Contenido es tuyo. Entre tú y maia, tú y tu Familia conservan todos los derechos sobre su Contenido.

16.2. La licencia limitada que nos das. Le otorgas a maia una licencia mundial, no exclusiva, sin regalías e intransferible (salvo a nuestros sucesores) para alojar, guardar, copiar, procesar, transcribir, traducir, analizar, transmitir, mostrar y generar Resultados a partir de tu Contenido, solo en la medida necesaria para prestarte el Servicio a ti y a tu Familia, protegerlo, mantenerlo, darte soporte y mejorar su confiabilidad, según describe la Política de Privacidad. Esta licencia termina cuando tu Contenido se borra de nuestros sistemas, salvo las copias que debamos guardar por ley o que queden por un tiempo limitado en respaldos.

16.3. Sin entrenamiento de IA ni publicidad. No usamos tu Contenido para entrenar modelos de IA, no lo vendemos y no lo usamos para publicidad.

16.4. Tu responsabilidad. Eres responsable de tu Contenido y de tener todos los derechos y consentimientos necesarios para compartirlo con maia y con los Integrantes que pueden verlo.

16.5. Resultados. Sujeto a estos Términos, puedes usar los Resultados para fines personales y del hogar. Pedidos parecidos de distintos usuarios pueden producir Resultados parecidos, y los Resultados no son exclusivos tuyos.

16.6. Sugerencias. Si nos envías ideas o sugerencias, podemos usarlas sin ninguna obligación hacia ti. No te identificaremos públicamente sin tu permiso.

17. Nuestra propiedad intelectual

El Servicio —incluidos el software, el panel, el sitio web, los diseños, el nombre, el logo y el isotipo de maia, las instrucciones, los modelos, los flujos y la documentación— es propiedad de maia o de sus licenciantes y está protegido por las leyes de propiedad intelectual. Sujeto a estos Términos, te otorgamos una licencia limitada, personal, no exclusiva, intransferible y revocable para usar el Servicio en tu hogar. Nos reservamos todos los derechos que no otorgamos expresamente. No puedes usar el nombre ni el logo de maia sin nuestro permiso previo por escrito.

18. Privacidad y seguridad de los datos

18.1. Nuestra Política de Privacidad explica qué recopilamos, cómo lo usamos, quién puede verlo dentro de tu Familia, con quién lo compartimos, cuánto tiempo lo guardamos y cuáles son tus derechos. Forma parte de estos Términos.

18.2. Usamos medidas de seguridad administrativas, técnicas y físicas pensadas para proteger tu información, descritas en la Política de Privacidad. Ningún sistema es perfectamente seguro y no podemos garantizar que terceros no autorizados nunca logren vulnerarlas. Si un incidente de seguridad afecta tu información personal, te avisaremos según lo exija la ley.

19. Disponibilidad, cambios y funciones nuevas

19.1. Trabajamos para que maia esté disponible, pero el Servicio puede interrumpirse por mantenimiento, actualizaciones, fallas de terceros (incluidos Meta/WhatsApp, proveedores de nube, proveedores de IA, Plaid, Google o Stripe) o hechos fuera de nuestro control.

19.2. Podemos agregar, cambiar o quitar funciones. Si quitamos una función central por la que pagas, te avisaremos con una anticipación razonable y, cuando corresponda, te reembolsaremos en proporción lo pagado por adelantado por el período afectado.

19.3. Funciones beta y de prueba. Algunas funciones pueden estar marcadas como beta, vista previa, acceso anticipado o similar. Pueden ser menos confiables, cambiar o discontinuarse, y se ofrecen "tal cual", sin compromisos.

20. Suspensión y cancelación

20.1. Por tu parte. Puedes dejar de usar el Servicio cuando quieras y cancelar como indica la Sección 14.4. También puedes pedirnos que borremos tu cuenta y tus datos (ver la Política de Privacidad).

20.2. Por nuestra parte. Podemos suspender o cancelar tu acceso, el de un Integrante o una Cuenta Familiar, con o sin aviso, si: tú o un Integrante incumplen estos Términos o la ley; es necesario para proteger a una persona, al Servicio o a otros usuarios; lo exige la ley o una plataforma de mensajería; no se realiza el pago; o discontinuamos el Servicio. Cuando sea razonable y la ley lo permita, te avisaremos primero y te daremos la oportunidad de corregir el problema. Si cancelamos el Servicio por motivos distintos de tu incumplimiento, te reembolsaremos lo pagado por adelantado por el período no usado.

20.3. Efectos. Cuando termina una Cuenta Familiar, maia deja de responder a sus Integrantes, se desconectan los servicios conectados y los datos se exportan (si lo pides antes del borrado) y se borran según la Política de Privacidad. Las secciones que por su naturaleza deben seguir vigentes (incluidas la 4, 5, 9, 13, 16.4 y de la 21 a la 31) siguen vigentes después de la cancelación.

21. Exclusión de garantías

EN LA MEDIDA MÁXIMA QUE PERMITA LA LEY, EL SERVICIO Y TODOS LOS RESULTADOS SE OFRECEN "TAL CUAL" Y "SEGÚN DISPONIBILIDAD", CON TODOS SUS DEFECTOS Y SIN GARANTÍAS DE NINGÚN TIPO, EXPRESAS, IMPLÍCITAS O LEGALES, INCLUIDAS LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN DETERMINADO, TITULARIDAD, NO INFRACCIÓN, EXACTITUD Y GOCE PACÍFICO, Y LAS QUE SURJAN DE LA COSTUMBRE O DEL USO COMERCIAL. NO GARANTIZAMOS QUE EL SERVICIO O LOS RESULTADOS SEAN EXACTOS, COMPLETOS, CONFIABLES, OPORTUNOS, SEGUROS, ININTERRUMPIDOS, LIBRES DE ERRORES O DE COMPONENTES DAÑINOS; QUE LOS RECORDATORIOS O MENSAJES SE ENTREGUEN; NI QUE LOS DEFECTOS SE CORRIJAN. USAS EL SERVICIO Y CONFÍAS EN LOS RESULTADOS BAJO TU PROPIO RIESGO. ALGUNAS JURISDICCIONES NO PERMITEN EXCLUIR CIERTAS GARANTÍAS, POR LO QUE ALGUNAS DE ESTAS EXCLUSIONES PUEDEN NO APLICARTE.

22. Limitación de responsabilidad

22.1. EN LA MEDIDA MÁXIMA QUE PERMITA LA LEY, EN NINGÚN CASO MAIA, GRUPO VIDA FARMA LLC NI SUS SOCIOS, ADMINISTRADORES, DIRECTIVOS, EMPLEADOS, CONTRATISTAS, AGENTES, PROVEEDORES O LICENCIANTES (LAS "PARTES DE MAIA") SERÁN RESPONSABLES POR DAÑOS INDIRECTOS, INCIDENTALES, ESPECIALES, CONSECUENTES, EJEMPLARES O PUNITIVOS, NI POR PÉRDIDA DE GANANCIAS, INGRESOS, DATOS, PRESTIGIO, OPORTUNIDADES O USO, QUE SURJAN DEL SERVICIO, DE LOS RESULTADOS O DE ESTOS TÉRMINOS, O QUE ESTÉN RELACIONADOS CON ELLOS, CUALQUIERA SEA SU CAUSA Y LA TEORÍA DE RESPONSABILIDAD (CONTRACTUAL, EXTRACONTRACTUAL, NEGLIGENCIA, RESPONSABILIDAD OBJETIVA U OTRA), AUN SI SE LES ADVIRTIÓ DE SU POSIBILIDAD.

22.2. SIN LIMITAR LO ANTERIOR, Y EN LA MEDIDA MÁXIMA QUE PERMITA LA LEY, LAS PARTES DE MAIA NO SON RESPONSABLES POR DAÑOS QUE SURJAN DE: (A) CONFIAR EN LOS RESULTADOS, INCLUIDOS RECORDATORIOS, AGENDAS, TRANSCRIPCIONES, RESÚMENES O INFORMACIÓN FINANCIERA; (B) MENSAJES O RECORDATORIOS QUE NO LLEGAN, LLEGAN TARDE O LLEGAN DUPLICADOS; (C) CUALQUIER DECISIÓN O RESULTADO DE EMERGENCIA, MÉDICO, FINANCIERO, DE CUIDADO INFANTIL, DE CUIDADO DE PERSONAS, LABORAL O DE SEGURIDAD; (D) SERVICIOS CONECTADOS, PLATAFORMAS DE MENSAJERÍA, OPERADORAS U OTROS TERCEROS; (E) LA CONDUCTA O EL CONTENIDO DE CUALQUIER INTEGRANTE U OTRO USUARIO; (F) EL ACCESO NO AUTORIZADO A TU TELÉFONO, TU CUENTA DE WHATSAPP O TUS ENLACES DE ACCESO; O (G) HECHOS FUERA DE NUESTRO CONTROL RAZONABLE.

22.3. EN LA MEDIDA MÁXIMA QUE PERMITA LA LEY, LA RESPONSABILIDAD TOTAL ACUMULADA DE LAS PARTES DE MAIA POR TODOS LOS RECLAMOS QUE SURJAN DEL SERVICIO O DE ESTOS TÉRMINOS, O QUE ESTÉN RELACIONADOS CON ELLOS, NO SUPERARÁ EL MAYOR DE ESTOS MONTOS: (A) LO QUE LE PAGASTE A MAIA POR EL SERVICIO EN LOS DOCE (12) MESES ANTERIORES AL HECHO QUE ORIGINÓ EL RECLAMO, O (B) CIEN DÓLARES ESTADOUNIDENSES (US$100).

22.4. ESTAS LIMITACIONES SON UNA PARTE ESENCIAL DEL ACUERDO ENTRE TÚ Y MAIA Y SE APLICAN AUNQUE UN RECURSO NO CUMPLA SU FIN ESENCIAL. NADA EN ESTOS TÉRMINOS LIMITA NI EXCLUYE LA RESPONSABILIDAD QUE NO PUEDE LIMITARSE NI EXCLUIRSE SEGÚN LA LEY APLICABLE, COMO LA RESPONSABILIDAD POR NUESTRA NEGLIGENCIA GRAVE, DOLO O FRAUDE, O POR MUERTE O LESIONES PERSONALES CAUSADAS POR NUESTRA NEGLIGENCIA CUANDO LA LEY NO PERMITE LIMITARLA.

23. Indemnización

En la medida que permita la ley, aceptas defender, indemnizar y mantener indemnes a las Partes de maia frente a cualquier reclamo de terceros, y a las pérdidas, daños, responsabilidades, costos y honorarios razonables de abogados relacionados, que surjan de: (a) tu Contenido; (b) tu incumplimiento de estos Términos o de la ley; (c) tu violación de los derechos de cualquier persona, incluido compartir información sobre una persona, grabarla o invitarla sin el consentimiento o la autoridad necesarios; (d) tu relación con tu Personal Doméstico; o (e) el uso del Servicio a través de tu número de teléfono o tu cuenta que tú autorizaste o que no protegiste de forma razonable. Te avisaremos de cualquier reclamo de este tipo y podremos participar en la defensa con los abogados que elijamos. No puedes cerrar un acuerdo que nos imponga obligaciones sin nuestro consentimiento por escrito. Esta Sección no te obliga a indemnizarnos por nuestra propia negligencia o mala conducta.

24. Liberación de responsabilidad

En la medida que permita la ley, liberas a las Partes de maia de reclamos, demandas y daños de cualquier tipo que surjan de disputas entre tú y otros Integrantes, otros usuarios o terceros (incluidos los Servicios Conectados y las plataformas de mensajería). Si resides en California, renuncias al artículo 1542 del Código Civil de California, que dice: "Una liberación general no se extiende a los reclamos que el acreedor o la parte que libera no conoce ni sospecha que existen a su favor al momento de firmar la liberación y que, de haberlos conocido, habrían afectado sustancialmente su acuerdo con el deudor o la parte liberada". Esta liberación no se aplica a reclamos que surjan de nuestra propia negligencia grave o dolo.

25. Ley aplicable y jurisdicción

Estos Términos y cualquier disputa entre tú y maia se rigen por las leyes del Estado de Florida y por la ley federal de EE. UU. aplicable, sin considerar sus normas sobre conflicto de leyes, salvo que la Ley Federal de Arbitraje rige la Sección 27. No se aplica la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías. Para cualquier disputa que no esté sujeta a arbitraje, tú y maia se someten a la jurisdicción exclusiva de los tribunales estatales y federales ubicados en el Condado de Miami-Dade, Florida, salvo que cualquiera de las partes puede presentar un reclamo individual ante un tribunal de reclamos menores del lugar donde reside quien reclama. Nada en esta Sección te priva de la protección de las leyes obligatorias de protección al consumidor del estado donde vives.

26. Primero, resolución informal

Antes de iniciar un arbitraje o un juicio, tú y maia aceptan intentar resolver la disputa de manera informal. La parte que tenga la disputa debe enviar un aviso por escrito que describa el reclamo, lo que pide y sus datos de contacto: a maia, a legal@maia-assist.com y por correo postal a la dirección de la Sección 1.1; o a ti, a tu número de teléfono o tu correo registrados. El aviso debe ser individual y estar firmado por quien reclama (y por su abogado, si lo tiene). Durante los 60 días siguientes a la recepción del aviso, las partes negociarán de buena fe, incluso, si una de ellas lo pide, en una llamada o videollamada en la que participe personalmente quien reclama. Los plazos de prescripción se suspenden durante este proceso.

27. Acuerdo de arbitraje y renuncia a demandas colectivas

27.1. Arbitraje individual vinculante. Salvo lo previsto en la Sección 27.5, toda disputa, reclamo o controversia entre tú y maia que surja de estos Términos, del Servicio o de tu relación con maia, o que esté relacionada con ellos, ya sea de base contractual, extracontractual, legal, por fraude o por cualquier otra teoría jurídica, y haya surgido antes o después de que aceptaras estos Términos, se resolverá mediante arbitraje individual, definitivo y vinculante, y no en un tribunal. El árbitro (no un tribunal) decide las cuestiones sobre el alcance, la validez y la formación de este acuerdo de arbitraje, salvo lo indicado en las Secciones 27.3 y 27.7.

27.2. Reglas y sede. El arbitraje lo administrará la American Arbitration Association ("AAA") conforme a sus Reglas de Arbitraje de Consumo (y, cuando corresponda, sus Reglas Complementarias de Arbitraje Masivo) vigentes al presentarse el reclamo, disponibles en adr.org. El arbitraje se hará por videoconferencia o en el condado donde vives, u otro lugar que acordemos. En reclamos de US$25,000 o menos, el arbitraje puede decidirse por escrito salvo que el árbitro exija una audiencia. El pago de los costos de presentación, administración y honorarios del árbitro se rige por las reglas de la AAA; si demuestras que esos costos serían prohibitivos para ti, los pagaremos según lo exijan esas reglas o la ley. El árbitro puede otorgar, de forma individual, cualquier reparación que podría otorgar un tribunal, incluidos honorarios de abogados cuando la ley lo permita.

27.3. Renuncia a demandas colectivas y a juicio con jurado. TÚ Y MAIA ACEPTAN QUE LOS RECLAMOS SOLO PUEDEN PRESENTARSE DE FORMA INDIVIDUAL, Y NO COMO DEMANDANTE O MIEMBRO DE UN SUPUESTO PROCESO COLECTIVO, DE GRUPO, ACUMULADO, DE FISCAL PRIVADO O REPRESENTATIVO. TÚ Y MAIA RENUNCIAN AL DERECHO A UN JUICIO CON JURADO. El árbitro no puede acumular reclamos de más de una persona y solo puede otorgar reparación a favor de la parte individual que la pide y en la medida necesaria para su reclamo individual. Si un tribunal decide que esta renuncia a demandas colectivas no es válida para un reclamo o una reparación en particular (como una medida cautelar pública), ese reclamo o esa reparación (y solo ese) se separará y lo decidirá un tribunal después de resolverse todos los reclamos arbitrables, y el resto de esta Sección seguirá vigente.

27.4. Presentaciones masivas. Si el mismo estudio jurídico o un grupo coordinado presenta, o ayuda a presentar, 25 o más reclamos similares contra maia, las partes aceptan que los reclamos se administren por lotes conforme a las Reglas Complementarias de Arbitraje Masivo de la AAA, y que los plazos de prescripción se suspendan para los reclamos que esperan ser presentados. Esto busca resolver los reclamos de forma eficiente y justa, no negarle a nadie una reparación.

27.5. Excepciones. Cualquiera de las partes puede (a) presentar un reclamo individual ante un tribunal de reclamos menores si califica; (b) pedir a un tribunal medidas cautelares o de equidad para detener la infracción o el mal uso de la propiedad intelectual o el acceso no autorizado a sistemas o datos; y (c) informar problemas a organismos públicos.

27.6. Tu derecho a excluirte: 30 días. Puedes excluirte de este acuerdo de arbitraje enviando un correo a legal@maia-assist.com dentro de los 30 días posteriores a la primera vez que aceptaste estos Términos, con el asunto "Arbitration Opt-Out" o "Exclusión de arbitraje", indicando tu nombre completo, el número de teléfono que usas con maia y que te excluyes del arbitraje. Excluirte no afecta ninguna otra parte de estos Términos. Si te excluiste de una versión anterior, esa exclusión sigue vigente.

27.7. Cambios a esta Sección. Si cambiamos esta Sección después de que la aceptaste, puedes rechazar el cambio escribiendo a legal@maia-assist.com dentro de los 30 días posteriores al cambio, y se te seguirá aplicando la versión anterior.

27.8. Divisibilidad. Salvo lo indicado en la Sección 27.3, si alguna parte de esta Sección 27 no es válida, el resto sigue vigente. Si toda la Sección no es válida, las disputas se resolverán en los tribunales indicados en la Sección 25.

28. Cambios a estos Términos

Podemos actualizar estos Términos. Si un cambio es importante, te avisaremos por WhatsApp o correo con al menos 30 días de anticipación a que entre en vigor, y actualizaremos la fecha de arriba. Los cambios no serán retroactivos. Si sigues usando el Servicio después de que los cambios entren en vigor, los aceptas; si no estás de acuerdo, puedes cancelar antes de que entren en vigor y no te cobraremos bajo los nuevos términos. Los cambios que exija la ley, o que respondan a temas de seguridad o a funciones nuevas, pueden entrar en vigor antes.

29. Comunicaciones y firmas electrónicas

Aceptas recibir de nosotros contratos, avisos, divulgaciones y otras comunicaciones en formato electrónico (por WhatsApp, correo, el panel o nuestro sitio web), y que las comunicaciones electrónicas cumplen cualquier requisito legal de constar por escrito. Tu aceptación electrónica (incluido un mensaje o un toque) es tu firma según la Ley de Firmas Electrónicas en el Comercio Global y Nacional de EE. UU. (E-SIGN) y leyes estatales similares. Puedes pedir una copia en papel sin costo a support@maia-assist.com.

30. Disposiciones generales

30.1. Acuerdo completo. Estos Términos y los documentos que incorporan son el acuerdo completo entre tú y maia sobre el Servicio y reemplazan cualquier acuerdo anterior sobre ese tema.

30.2. Cesión. No puedes ceder ni transferir estos Términos sin nuestro consentimiento por escrito. Nosotros podemos cederlos en el marco de una fusión, adquisición, reorganización o venta de activos, o a una empresa afiliada, avisándote; la Política de Privacidad explica cómo se protegen tus datos en ese caso.

30.3. Divisibilidad y no renuncia. Si una disposición no es válida, se modificará en la medida mínima necesaria y el resto seguirá vigente. Que no hagamos cumplir una disposición no significa que renunciemos a ella.

30.4. Fuerza mayor. No somos responsables por demoras o fallas causadas por hechos fuera de nuestro control razonable, como desastres naturales, pandemias, guerras, terrorismo, conflictos laborales, actos de gobierno, cortes de energía o de internet, y fallas de plataformas o proveedores externos.

30.5. Relación entre las partes. Nada en estos Términos crea una sociedad, empresa conjunta, relación laboral, de agencia o fiduciaria.

30.6. Sin terceros beneficiarios. Estos Términos no le dan derechos a ningún tercero, salvo que las Partes de maia pueden hacer valer las Secciones 22 a 24.

30.7. Idioma. Ofrecemos estos Términos en inglés y en español. Ambas versiones buscan decir lo mismo. En la medida que permita la ley, si hay alguna contradicción, prevalece la versión en inglés.

30.8. Títulos e interpretación. Los títulos son solo para facilitar la lectura. "Incluido" significa "incluido, sin limitación".

30.9. Avisos para nosotros. Los avisos legales deben enviarse a legal@maia-assist.com y por correo postal a GRUPO VIDA FARMA LLC d/b/a maia, 3625 NW 82nd Ave, Suite 100KK, Doral, FL 33166, EE. UU.
